Overview

These License Terms explain how you may use the digital products sold by Grabemeyer Consulting LLC ("Grabemeyer Consulting," "we," "us"): the Small Business Tech Change Toolkit, the AI Rollout Toolkit, and the Practitioner License. By buying, downloading, or using a product, you agree to these terms. Products are digital downloads. You are buying a license to use the files, not the files themselves or the rights in them.

"You" means the person buying, and the business or organization that person buys for. If you buy for a company, you confirm you have authority to accept these terms for it.

Standard Business License (Small Business Tech Change Toolkit)

This license comes with every tier of the Small Business Tech Change Toolkit (Essentials, Complete, and Complete + Coaching).

What you can do

  • Use the toolkit within one business (one legal entity).
  • Share it with all of that business's employees for internal use.
  • Use it on an unlimited number of internal projects.
  • Edit, adapt, and rebrand the templates and workbooks freely to fit your business.
  • Delete the template credit line from templates you adapt.

What you cannot do

  • Resell, redistribute, or give away the toolkit or any part of it, edited or not.
  • Share it with other companies, including clients, vendors, parent companies, or affiliates that are separate legal entities.
  • Upload it to a marketplace, file-sharing site, template library, or any public website.
  • Use it to train, fine-tune, or evaluate AI models, or to build a competing product or service.
  • Remove copyright notices from the Playbook or the guides.

Organization License (AI Rollout Toolkit)

This license comes with every tier of the AI Rollout Toolkit (Starter, Professional, and Professional + Kickoff).

  • It covers one legal entity or organization, including its employees and the contractors who work on its behalf for that rollout.
  • You may use the toolkit for unlimited internal projects and edit it freely.
  • You may adapt the templates into your internal intranet, learning management system (LMS), or similar internal tools, as long as access is limited to people covered by this license.
  • You may delete the template credit line from templates you adapt.
  • The same restrictions as the Standard Business License apply: no resale, no sharing with other companies, no uploading to marketplaces or public sites, no AI training or competing products, and no removing copyright notices from the Playbook or the guides.

If your organization has several separate legal entities and wants to cover them all, contact us for a multi-entity arrangement.

Practitioner License

The Practitioner License is for consultants and managed service providers (MSPs) who want to use the toolkits with their own clients. It is $597 one time and is currently sold by inquiry.

What you can do

  • Use the toolkits in your work with your own clients, across unlimited engagements.
  • Add your own logo to the templates.
  • Give each client a client-ready copy of the files for that client's own internal use.

What you cannot do

  • Resell the files, or let anyone else resell them.
  • Post them publicly, including on websites, marketplaces, or social platforms.
  • Sublicense them, other than the client copies described above.
  • Offer the toolkits, or something substantially the same, as your own product.
  • Remove copyright notices from the Playbook or the guides.
  • Use them for AI training or to build a competing product.

Updates and renewal

Your license includes 12 months of updates. After that, you can renew for $179 per year to keep receiving updates. Renewal is optional. If you do not renew, you keep the version you already have and may keep using it under these terms.

Ownership and copyright

Grabemeyer Consulting LLC owns all copyright and other rights in the toolkits, including the text, structure, templates, workbooks, guides, videos, and designs. Nothing in these terms transfers ownership to you. Content you add to the files, such as your own project details and plans, stays yours. Copyright notices in the Playbook and guides must stay in place.

Updates

We may improve or correct the toolkits from time to time. Unless your product says otherwise, updates released after your purchase are provided at our discretion and are not guaranteed. The Practitioner License includes 12 months of updates as described above. We may stop offering or supporting a product at any time, but you keep the right to use the files you already downloaded.

Refunds end the license

If we refund your purchase under our Refund Policy, your license ends and you must delete all copies of the files, including copies you gave to others under the license.

Disclaimers

  • General guidance only. The toolkits are general educational and planning materials. They are not legal, HR, employment, tax, financial, IT security, or privacy advice. Talk to a qualified professional before making decisions in those areas.
  • No guaranteed results. Outcomes depend on your people, your tools, and how you carry out the work. We do not promise any particular result.
  • Fictional examples. Examples, sample scenarios, and sample data in the toolkits are fictional and for illustration.
  • Third-party trademarks. Product, tool, and company names mentioned belong to their owners. Their use does not imply endorsement or affiliation.
  • Prosci independence. Andi Grabemeyer is a Prosci®-certified change management practitioner. The toolkits are independent works created by Grabemeyer Consulting LLC. They are not created, reviewed, endorsed, or sponsored by Prosci Inc., and they are not Prosci materials. Prosci is a registered trademark of Prosci Inc.

No warranty

THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR NEEDS OR BE ERROR-FREE.

Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, GRABEMEYER CONSULTING LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PRODUCT IS LIMITED TO THE AMOUNT YOU PAID FOR THAT PRODUCT.

Some places do not allow certain limits, so parts of this section may not apply to you.

Termination

If you breach these terms, your license ends automatically and we may end your access to any related downloads or updates. You must then stop using the products and delete all copies. Sections that by their nature should survive termination (ownership, disclaimers, liability, and governing law) will survive. We may also seek other remedies the law allows.

Governing law

These terms are governed by the laws of the State of Illinois, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction. Please contact us first so we can try to resolve it informally.

Changes to these terms

We may update these terms. Each version has a version number and an effective date at the top of this page. Changes apply to purchases made after the effective date. If you bought earlier, the version in effect when you bought applies to you, except that we may apply changes that only clarify wording or are required by law.
